Position Overview: Works in association with the General Counsel/Corporate Secretary as a member of the Legal team specializing in commercial documentation. Provides legal research and advice in support of commercial activity and transactions. Drafts documents, policies and agreements primarily related to commercial bank business and occasionally litigation matters. Researches and analyzes law sources to prepare legal documents. Coordinates with internal departments and outside regulatory agencies as needed.

Essential Functions
- With limited supervision, provides legal advice to Bank internal customers regarding commercial transactions.
- Supports Credit Administration in drafting loan policy consistent with state laws and regulatory requirements.
- Drafts and/or modifies loan documents to protect Bank against excessive credit and legal risk.
- Provides legal advice to the Special Assets Department on loan workout issues.
- Develops, maintains and manages relationships with outside counsel and law firms to augment Legal Department services.
- Monitors state and federal case law and legislative developments that may impact the Bank's lending functions.
- Represents Legal on the Credit Policy Committee.
- Regular, reliable attendance is required.
Qualifications
- Juris Doctorate
- Licensed to practice law in Washington or qualified to work as in-house counsel in Washington.
- Five to seven years' experience of practice in commercial transactions preferred.
- Expert knowledge of secured transactions under UCC Article 8 and UCC Article 9.
- Expertise in Washington state real property law with additional knowledge of Oregon and Idaho real property law preferred.
- Expertise in drafting commercial loan documents, including business loan agreements, promissory notes, commercial security agreements, deeds of trust, account control agreements, financing statements and commercial guaranties.
- Experience negotiating commercial transactions.
- Ability to parse complex transactions and identify key risk factors.
- Must be proficient in Microsoft Office Suite and able to independently deliver quality work product.
- Ability to prioritize multiple work assignments.
- Ability to communicate complex ideas at both a technical level and a strategic level.
- Strong initiative and ability to manage schedule in a fast-paced environment; strong attention to detail
- Outstanding analytical and problem-solving skills.
- Strong legal research skills with the ability to communicate well in written, verbal and interpersonal forums, including strong presentation skills.
- Ability to work both independently and as a member of a team.
Compensation: $112,430 - $168,700 The compensation range represents the low and high end of the base compensation range for this position located in Spokane, WA. Actual compensation will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. This position is eligible to participate in an applicable annual bonus plan.
