Position Summary

We are currently seeking midlevel associates with infrastructure experience to join our Energy, Infrastructure, Project and Asset Finance practice. You will play a key role in negotiating, drafting, and reviewing complex project and financing agreements, advising clients on legal and regulatory issues, and conducting due diligence to identify and mitigate potential risks.

As part of our team, you will collaborate with multidisciplinary teams, including engineers, financial advisors, and government officials, to ensure seamless project execution. You will also manage closing processes, coordinate with junior associates, and stay abreast of industry trends and legal developments to provide clients with cutting-edge advice. Additionally, you will contribute to research, knowledge development, thought leadership, and other business development initiatives.

Under the direction of the Manager of Legal Assistants, the Disputes-Arbitration Legal Assistant will assist and provide support to the Firm's clients and case teams. The legal assistant will work in a fast-paced environment under the supervision of attorneys in providing legal services to clients.

As an associate, you will engage in cutting-edge project development and finance work. Duties and Accountabilities1

  • Assist in the negotiation, drafting, and review of complex project agreements, including concession agreements, construction contracts, operation and maintenance agreements and offtake agreements
  • Assist in the negotiation, drafting and review of complex financing documents, including credit agreements, accounts agreements and intercreditor agreements.
  • Advise clients on legal and regulatory issues related to infrastructure projects, including liaising with specialist practitioners and local counsel on compliance with federal, state, and local laws and regulations.
  • Conduct due diligence, including bankability review and risk assessment for infrastructure transactions, identifying potential commercial and legal risks and proposing mitigation strategies.
  • Collaborate with multidisciplinary teams, including engineers, financial advisors, and government officials, to ensure seamless project execution.
  • Assist with closing management, including coordinating with junior associates on closing room population
  • Stay abreast of industry trends, legal developments, and best practices in infrastructure law to provide clients with cutting-edge advice.
  • Collaborate in research, knowledge development, thought leadership and other business development and internal and external training initiatives

Qualifications

  • A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school
  • Admitted to the New York bar (or the ability to become admitted) and in good standing
  • 4+ years of relevant law firm or in-house experience; transactional experience required
  • Strong academic record and intellectual curiosity, creative thinker
