What you'll do

At Docusign, as we lead the Intelligent Agreement Category, we are seeking an experienced Senior Counsel, Product & Partnership Transactions. This isn't your typical in-house role; it requires a skilled attorney who can craft innovative legal solutions at the intersection of emerging technology and innovation. This role is pivotal in shaping our partnership strategies, focusing on complex integrations with resellers, Systems Integrators (SIs), and Independent Software Vendors (ISVs).

The ideal candidate will have substantial experience as a SaaS product counsel or extensive commercial contracting expertise, coupled with an eagerness to deepen their product counseling experience. As a key individual contributor, you will play a vital role in shaping legal strategies, supporting the development of intelligent agreement management solutions, and ensuring compliance with evolving regulatory frameworks.

We are looking for a professional who thrives in a dynamic, fast-paced environment and is passionate about technology and its impact on our profession. You are a self-starter with strong drafting, negotiation, and transaction management skills, capable of driving complex enterprise transactions. This role requires a strategic, tech-savvy partner who can maintain a big-picture view while digging deep into the details to ensure alignment between business objectives and legal structure.

This position is an individual contributor role reporting to the Deputy General Counsel for Product, Engineering, Partnerships, and IP.

Responsibility

  • Drive, draft, and negotiate complex global technical agreements, including partnership agreements, platform integration agreements, identity-related integrations, key tech vendor transactions, ISV/OEM, and reseller agreements

  • Work cross-functionally to define and develop global partner and channel programs which includes creating and maintaining related corporate policies, procedures, legal templates, and training materials

  • Act as a critical liaison, effectively connecting the dots between partnership teams, product/engineering, and other legal subject matter experts (e.g., privacy, regulatory, IP)

  • Assist in supporting the innovation and integration of AI technology into Docusign's platform to deliver enhanced solutions


Job Designation

Remote: Employee is not required to be in or near an office frequently and works from a designated remote work location for the majority of the time.

Positions at Docusign are assigned a job designation of either In Office, Hybrid or Remote and are specific to the role/job. Preferred job designations are not guaranteed when changing positions within Docusign. What you bring

Basic

  • J.D. Degree from an accredited law school and active membership in good standing with a U.S. state bar

  • Minimum of 8+ years of relevant technology transactional experience

  • Global transactional background, with experience in negotiating, drafting, and advising business stakeholders on technology-related integrations, licensing, and multi-jurisdictional transactions

  • Experience with business partnerships and licensing agreements

Preferred

  • Proven ability to provide practical, technically-driven advice and effectively balance legal risks with strategic business goals

  • Demonstrated ability to address complex problems and business needs

  • Ability to build strong relationships and trust quickly and interact with all levels of the business with ease

  • Demonstrated teaming ability to work well with, influence, and inform diverse groups, including peers and clients

  • Great judgment, attention to detail, and interpersonal/communication skills, with the ability to translate complex legal concepts for business stakeholders

  • Strong understanding of data usage, privacy, and data security, particularly with SaaS products

  • General understanding of cloud and software industries, including the SaaS model and modern technology stacks

  • Experience in a global technology organization

  • Strong commercial experience with channel/partners

  • A proactive and self-driven work ethic and the highest level of integrity and business ethics

  • Dedicated to providing top-notch customer service

  • Team attitude that no job is too big or too small


Wage Transparency

Pay for this position is based on a number of factors including geographic location and may vary depending on job-related knowledge, skills, and experience.

Based on applicable legislation, the below details pay ranges in the following locations:

California: $157,500.00 - $254,350.00 base salary

Illinois, Colorado, Massachusetts and Minnesota: $151,200.00 - $213,600.00 base salary

Washington, Maryland, New Jersey and New York (including NYC metro area): $151,200.00 - $222,450.00 base salary

Washington DC: $157,500.00 - $222,450.00 base salary

Ohio: $131,900.00 - $186,275.00 base salary

This role is also eligible for the following:

  • Bonus: Sales personnel are eligible for variable incentive pay dependent on their achievement of pre-established sales goals. Non-Sales roles are eligible for a company bonus plan, which is calculated as a percentage of eligible wages and dependent on company performance.
  • Stock: This role is eligible to receive Restricted Stock Units (RSUs).
