Job Description: Senior Manager - Tax Transaction Advisory Position Overview The Senior Manager in Tax Transaction Advisory plays a critical role in delivering high-quality transaction-related tax services. This position is responsible for leading complex engagements, advising clients through the tax implications of transactions, and contributing to the execution and advancement of the firm's national Tax Transaction Advisory strategy. The role requires a balance of deep technical expertise, strong client management, and team leadership. Key Responsibilities
- Actively participates in multiple transaction engagement teams, supporting tax due diligence, structuring, and advisory services for mergers, acquisitions, dispositions, and restructurings undertaken by private equity sponsors and corporate acquirers
- Evaluates and communicates tax exposures and planning opportunities, advising both buyers and sellers on tax-efficient transaction alternatives
- Reviews transaction documentation, including merger and purchase agreements, and contributes to technical memoranda and opinion letters as needed
- Analyzes tax-related assumptions and calculations within client financial models and assists with both quantitative and qualitative assessments of tax impacts on projected transaction outcomes
- Oversees engagement economics, including scope management, budgeting, billing, and collections, while maintaining risk management standards
- Coordinates with and leads professionals across domestic and international offices to deliver integrated client solutions
- Collaborates with firm leadership and peers to identify market opportunities and support the growth of the Tax Transaction Advisory practice
- Establishes, maintains, and expands trusted client relationships
- Coaches, develops, and mentors team members to support performance, engagement quality, and long-term career development
- Performs additional responsibilities as business needs require
Leadership & Supervision
- Provides day-to-day supervision and guidance to staff and senior team members across transaction engagements
Required Qualifications and Experience
- Minimum of eight (8) years of experience in a professional services or public accounting environment
- At least three (3) years of direct experience in tax transaction advisory services
- Bachelor's degreerequired; concentrations in Accounting, Finance, Economics, or Statistics strongly preferred
- Active CPA license, U.S.-admitted attorney status, IRS Enrolled Agent (EA), or equivalent professional credentialrequired
- Proficiencywith Microsoft Excel, Word, and PowerPointrequired
Preferred Skills
- Advanced degree such as a Juris Doctor (JD), Master of Laws (LLM - Tax), orMaster's in Accounting or Taxationpreferred
- Additionalrelevant certifications or professional designations are a plus
Technical Skills & Core Competencies
- Demonstrated ability to manage multiple concurrent client engagements and lead client service teams
- Strong written and verbal communication skills, with the ability to clearly convey complex tax concepts and negotiation considerations
- Broad technical expertise across U.S. federal, state, and international income tax matters
- Working knowledge of non-income-based taxes, including indirect, payroll, property, and other transactional tax regimes
- Solid understanding of U.S. GAAP, particularly accounting for income taxes
- Experience with tax controversy matters and procedural considerations
- Willingness and ability to travel as business needs dictate

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $106,500.00 - $267,500.00 per year.
